Once you become an approved distributer you will be allocated a geographical area and no other distributor will be allowed to sell or penetrate in your area.

HOW IT WORKS

TERM AND RENEWAL

The initial term of an Agreement shall expire 2 (two) years from the commencement date.

The Distributor shall be entitled to renew this Agreement, provided that it has not been cancelled due to any breach by Caprichem, for 2 (two) further periods of 5 (five) years at a time, provided that it gives Caprichem at least 3 (three)

months' notice in writing, prior to the commencement of each respective 5 (five) year period, of its intention to renew this Agreement. If the rights of becoming a Distributor is granted for a geographical area, and if the distribution of Caprichem brands has become dormant for three months or more then the Agreement will automatically be cancelled by Caprichem without notification.

INITIAL DISTRIBUTORS FEE

The Distributor shall pay Caprichem an upfront fee of between ten thousand (R10,000) and a hundred thousand rand (R100,000) excluding Value Added Tax against the signature of the agreement by the Distributor for the rights granted to the Distributor and for the stationery and training provided by Caprichem in terms of the agreement. The initial fee is determined by the number of brands, stationery and training which will be provided.

The initial franchise fee will be used by the Caprichem, to set up the Distributors business, to settle all administrative and legal fees associated with the setting up of the Business and to cover the cost of all travelling, accommodation and training of the Distributor and its selected employees.

FUNDS REQUIRED TO ESTABLISH THE BUSINESS

An additional amount of working capital is required for the running and maintaining the business. This will include the lease of the premises from which the Sourced Products are being warehoused and distributed from, any site conversion costs, décor, signage, furniture, opening stock, legal and financial charges. The working capital is also determined on the size of the Distributer as well as the size of the territory.

MONTHLY ROYALTY FEES

The Distributer shall NOT pay Caprichem a monthly royalty fee (plus VAT), payable in arrears, on the 7th (seventh) day

of every month calculated at 7% (seven percent) of the Gross Income generated by the Distributer during the previous month from the sales of the products. The distributer shall but the selected brands at the best possible price and control his own GP’s (Gross Profits) and Markups.

INTELLECTUAL PROPERTY, KNOW-HOW, AND TRADE NAMES

Know-How and Trade Names and stationery. Caprichem will loan (allow) the Distributer for the duration of this Agreement, the rights to use our stationary, brands, logos, websites, business cards, letterheads, Technical Data Sheets and Safety Data Sheets. Once the distribution right is canceled all such right will be revoked immediately.

All stationary, brands, logos, websites, business cards, letterheads, Technical Data Sheets and Safety Data Sheets and all digital data to be handed back to Caprichem. At no time will any distributer be allowed to use the name Caprichem.

TERRITORIAL RIGHTS

Caprichem will grant the Distributer the sole and exclusive license, within the agreed Territory, and to market, sell and distribute the agreed products and brands to all industries.

DUTIES OF CAPRICHEM

Caprichem shall loan to the Distributer for the duration of this Agreement, stationary, brands, logos, websites, business cards, letterheads, Technical Data Sheets and Safety Data Sheets and all digital data required to run a business. Caprichem will host a website for Distributers to access.

Caprichem shall provide the Distributer with assistance and training as is reasonably necessary. Caprichem shall offer an initial training program to the Distributor and to those sales, administration employees selected by the Distributer who will be involved in the daily operation of the Business.

Caprichem shall provide such initial and continuing advice and assistance to the Distributer in the operation and promotion of the Business as is appropriate.

Caprichem will assist the Distributer in endeavouring to overcome problems which the Distributer may experience in selling and distributing the products.

Caprichem shall conduct, when and as frequently as it deems advisable, inspections of the Distribution Premises. Caprichem shall supply the Distributer with copies of all current recommended price lists in respect of the Products.

Caprichem shall endeavour to answer as soon as is reasonably possible, any technical queries made by the Distributer in respect of the Products.

Caprichem shall assist the Distributer in marketing the Products with marketing material.
